Definitions
Client: The company or individual commissioning the services of Suzi Kemp.
Suzi Kemp: Suzanne Elizabeth Kemp, Oxford, United Kingdom.
Brief
A summary of the work to be carried out, the timescale and cost.
Services provided
Suzi Kemp will carry out work for the Client as agreed in the brief.
Any additions to or extra work outside of the brief will be carried out at the discretion of Suzi Kemp. Suzi Kemp reserves the right to charge an additional fee for any changes to the brief resulting in extra work. Suzi Kemp will review fees charged at least annually.
Delivery and guarantee
Before starting work, Suzi Kemp requires the Client to provide written confirmation of the agreed commission and fee and that they have read and agree to the terms and conditions.
Suzi Kemp will deliver all of the work carried out within the agreed timeframe as agreed in the brief.
Should revisions to the work be necessary, Suzi Kemp will complete them promptly provided the Client specifies them within 30 days of receipt of the work.
Should the delivery date have to be put back for any reason (personal illness, circumstances or further information needed to complete a task), Suzi Kemp will, where reasonably practicable, give the Client at least 24 hours’ notice.
Expenses
Any reasonable expenses incurred as a result of the work carried out, including but not limited to travel, food, accommodation, telephone calls, texts and wi-fi charges, will be included in Suzi Kemp’s invoice.
Payment terms
The rate and form of payment will be agreed at the beginning of a brief before any work is carried out.
Any fundamental changes to the brief by the Client after the first draft is submitted may incur an additional fee that will be discussed in advance.
The Client is required to pay 50% of the agreed payment before Suzi Kemp starts working for the Client and the balance is required within 30 days of receipt of Suzi Kemp’s invoice, regardless of whether Suzi Kemp’s work is used or not.
Late or non-payment
A rate of 10% interest per month, from the expiry of the 30 day period following receipt of any invoice, will be charged for late or non-payment.
Ending the brief
If a brief is terminated, cancelled or ended prematurely for any reason, payment for all work completed and expenses incurred to date is required within 30 days of receipt of the invoice for such work and expenses. Interest will apply in the same way as set out above.
Conditions of use and author’s rights
Suzi Kemp retains the copyright for all work carried out in respect of any brief, unless otherwise agreed, and no work or part thereof may be reproduced without Suzi Kemp’s permission or unless otherwise agreed, for which an additional fee may be charged.
Suzi Kemp retains the right to display any work carried out on Suzi Kemp’s website www.suzikempcopywriter.wordpress.com and to link to it through social media pages such as Twitter or LinkedIn, unless otherwise agreed.
Liability
The Client retains liability for all content commissioned and produced. Suzi Kemp is not liable for any loss or damage incurred from production or reproduction of any content produced.
The Client remains responsible for checking any content produced by Suzi Kemp before publication.
The Client agrees to indemnify Suzi Kemp against any claim for compensation or damages brought about as a direct or indirect consequence of the work carried out for the Client.
Confidentiality
Any anonymous sources and private information used during the course of Suzi Kemp’s work will remain private and confidential.
Whilst Suzi Kemp is prepared to sign any confidentiality or non-disclosure agreements deemed necessary by the Client, the Client agrees to indemnify me against any action associated with the accidental disclosure of this information.
Terms of agreement
By agreeing to commission a brief from Suzi Kemp you accept these terms and conditions.
Law and jurisdiction
These terms and any work carried out by Suzi Kemp are subject to English law and the Client agrees that the English courts have exclusive jurisdiction in relation to any dispute or claim arising out of or in connection with the same and any non-contractual obligations arising out of or in connection with the same.
